Why don't I see the ports i4n the Device
Manager even after installing the driver properly in Win2k?

This is a normal behavior of the Driver.
By default, the driver will create an entry in the Device Manager
under the Multi Port section. But it will not create entries under
the Ports section. (e.g. COM3....COM10) The ports do exist, and you
can verify this by running Hyperterminal.
